Terms of Service

Welcome to Tulex. These Terms of Service (the "Terms") govern your access to and use of tulex.ai, its subdomains, calculators, tools, editorial content, and any related services (collectively, the "Services") operated by Tulex (the "Operator" or "we"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (the "User") and Tulex. Your access to the Services implies express acceptance of these Terms. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Informational Nature of the Service (Not Legal Advice)

TULEX IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. The Services include editorial content, calculators, templates, formats, and technological tools designed to facilitate access to general legal information. However:

  • All published content is provided for informational and educational purposes only.
  • Calculators and tools are reference tools based on standard formulas and regulations in effect at the time of publication.
  • Use of the Services does not create an attorney-client relationship between you and Tulex.
  • Content should not be interpreted as legal opinion, professional recommendation, or a substitute for advice from a qualified attorney.
  • For specific cases, complex situations, or important legal decisions, you must consult with a duly licensed attorney in your jurisdiction.

Tulex is not liable for decisions made or actions taken based on the content of the Services.

3. Use of Artificial Intelligence

Some of our Services use generative AI models to produce content, suggestions, or responses. You acknowledge and agree that:

  • AI models may generate inaccurate, incomplete, or outdated information.
  • AI-generated results must be verified by a professional before any official use.
  • Tulex does not guarantee the accuracy, completeness, or fitness of AI-generated content for any specific purpose.
  • Inputs you provide to AI tools may be processed by third-party technology providers (see Section 11).

4. Account Registration

To access certain features, you may need to create an account. You agree to:

  • Provide truthful, accurate, current, and complete information.
  • Maintain the confidentiality of your access credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Be responsible for all activities performed under your account.

We reserve the right to suspend or terminate accounts that contain false information or are used in violation of these Terms.

5. Acceptable Use

You agree not to use the Services for:

  • Any unlawful purpose or in violation of applicable Colombian or international laws.
  • Infringing intellectual property rights of Tulex or third parties.
  • Unauthorized access to accounts, systems, or networks associated with the Services.
  • Transmitting viruses, malware, or malicious code.
  • Scraping, web crawling, or massive automated content extraction without prior written authorization.
  • Impersonating identities or providing false information.
  • Interfering with the normal operation of the Services.
  • Using the Services to generate defamatory, discriminatory content or content that violates fundamental rights.
  • Reselling, redistributing, or commercializing the Services without express authorization.

6. Intellectual Property

6.1 Tulex Content

All content of the Services, including but not limited to text, graphics, logos, icons, images, source code, calculators, templates, software, and design, is the exclusive property of Tulex or its licensors and is protected by Colombian and international intellectual property laws.

Tulex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal organizational purposes, in accordance with these Terms.

6.2 Your Content

You retain all rights to content you submit or upload to the Services ("User Content"). By uploading User Content, you grant Tulex a worldwide, non-exclusive, royalty-free license to use, store, process, reproduce, and modify such content solely for the purpose of operating and improving the Services.

We will not use your User Content to train our own AI models without your express consent.

7. Paid Plans, Billing, and Refunds

7.1 Fees

Some Services require payment of a subscription fee. Current fees are published on our website. We reserve the right to modify fees with at least thirty (30) days' prior notice.

7.2 Billing

Subscriptions are billed in advance on a monthly or annual basis according to the chosen plan. You authorize Tulex (or its payment processor) to charge the payment method registered in your account on a recurring basis.

7.3 Right of Withdrawal (Colombian Law 1480 of 2011)

For users in Colombia, in accordance with Article 47 of Law 1480 of 2011 (Consumer Statute), you have the right to withdraw from the purchase within five (5) business days following the contract execution, provided you have not begun using the service. To exercise this right, send a request to hello@tulex.ai indicating your name, purchase date, and reason for withdrawal. The refund will be processed within thirty (30) calendar days.

7.4 Subscription Cancellation

You may cancel your subscription at any time from your account. Cancellation takes effect at the end of the current billing period. No partial refunds are granted for unused periods, except in the cases of withdrawal described above.

8. Termination

We may suspend or terminate your access to the Services, with or without prior notice, if:

  • You violate these Terms.
  • You engage in activities that damage or jeopardize the Services or other users.
  • Required by a competent authority or court order.

Upon termination, you will lose access to the Services and your account. Provisions that by their nature should survive (including liability limitations, indemnification, intellectual property, and applicable law) will remain in effect.

9. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TULEX DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose.
  • Warranties of accuracy, completeness, or currency of content.
  • Warranties that the Services will be uninterrupted, secure, or error-free.
  • Warranties about results obtained from the use of calculators, tools, or AI-generated content.

The above does not affect consumer rights established in Law 1480 of 2011 that cannot be excluded by contract.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TULEX, ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, business opportunities, or reputation.
  • Damages arising from legal, financial, or business decisions made based on the Services' content.
  • Damages caused by service interruptions, calculation errors, AI-generated content, or technical failures.

TULEX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TULEX IN THE TWELVE (12) MONTHS IMMEDIATELY PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED THOUSAND COLOMBIAN PESOS ($100,000 COP) IF YOU HAVE NOT MADE PAYMENTS.

This limitation does not apply to damages caused by willful misconduct or gross negligence, nor to rights that the law does not permit to be limited by contract.

11. Third-Party Services

The Services may integrate or rely on third-party technology providers, including cloud infrastructure providers (such as AWS), AI models (such as Anthropic, OpenAI, Google), payment processors, analytics tools, and others. Use of these services is subject to their own terms and policies. Tulex is not responsible for the actions or omissions of third-party providers.

12. Indemnification

You agree to indemnify, defend, and hold Tulex and its directors, employees, agents, and affiliates harmless from any claim, demand, damage, loss, cost, or expense (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of third-party rights.
  • The User Content you upload to the Services.

13. Modifications to Terms

We may modify these Terms at any time. Material modifications will be notified at least fifteen (15) days in advance through the website or by email. Your continued use of the Services after the effective date of modifications constitutes acceptance of the new Terms. If you do not agree, you must stop using the Services.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Colombia. Any dispute, controversy, or claim arising from or related to these Terms shall be subject to the exclusive jurisdiction of the competent judges and courts of Bogotá D.C., Colombia, without prejudice to the consumer rights established in Law 1480 of 2011 (Consumer Statute) and the possibility of filing complaints with the Superintendence of Industry and Commerce (SIC) at https://sic.gov.co.

Tulex also respects and complies with personal data protection rights established in Law 1581 of 2012 (Habeas Data).

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Tulex regarding the Services.
  • Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will remain in effect.
  • No Waiver: The fact that Tulex does not exercise any right established in these Terms does not constitute a waiver of such right.
  • Assignment: You may not assign these Terms without our prior written consent. Tulex may freely assign them.
